Welcome to ModMount.io, the review automation service operated by MODMOUNT LLC (“ModMount,” “we,” “us,” or “our”).

These Terms govern access to and use of ModMount by business customers (“Client,” “you,” or “your”) and the people authorized to use the Service for that Client. ModMount.io is separate from ModMount.com.


1. Quick Summary

This summary is here to make the Terms easier to understand. It is not a substitute for the full Terms.

  • ModMount helps local businesses request Google reviews, manage review replies, display review proof, create review-derived social assets, publish eligible posts, run managed email workflows, and receive reports.
  • You are responsible for the customer data, provider accounts, business profiles, sender domains, content, review practices, and instructions you give ModMount.
  • ModMount depends on providers such as Google, Meta, Resend, Encharge, ThriveCart, Supabase, Cloudflare, OpenAI, and related service providers. Provider changes can affect features.
  • ModMount may pause sending, publishing, or other features to protect recipients, sender reputation, provider access, security, or the Service.
  • Prices are not listed in these Terms. Current pricing and plan details are shown on the website, in the portal, in the checkout, or in the applicable manage-plan flow.

If any summary, tooltip, FAQ, help article, demo, sales page, or support answer conflicts with these Terms, these Terms control unless a signed written agreement or checkout-specific term expressly says otherwise.


2. Agreement And Order Of Precedence

By creating an account, accessing the portal, connecting a provider, importing data, using the Service, authorizing a checkout, buying a plan or add-on, or clicking or checking any acceptance control that references these Terms, you agree to these Terms.

If you do not agree to these Terms, do not access or use ModMount.

If you use ModMount on behalf of a business, you represent that you have authority to bind that business. The business is the Client under these Terms.

If documents conflict, they control in this order:

  1. A signed written agreement between you and ModMount.
  2. Checkout, order, or plan-specific terms shown at purchase.
  3. These Terms.
  4. ModMount’s acceptable use rules in Section 17.
  5. The Privacy Policy, but only for privacy and data-handling matters.

ModMount may refuse, suspend, or end access if we believe an account, purchase, provider connection, data source, or use case creates legal, provider, deliverability, security, billing, or platform risk.


3. Definitions

  • Account means the business profile, settings, users, locations, connected providers, provider state, subscription state, records, assets, reports, credits, and related configuration for a Client.
  • Authorized User means anyone the Client permits to access or use the Service, including Owners, Managers, Staff, and Operators.
  • Broadcast Campaign means a managed one-time email campaign delivered through ModMount’s Email Automation service.
  • Client means the business that owns or controls the Account.
  • Connected Provider or Provider Platform means a third-party system connected to or used by the Service, including Google Business Profile, Meta or Instagram, Resend, Encharge, ThriveCart, Supabase, Cloudflare, OpenAI, SyncSpider, Emailit if used, Intercom if used, and similar providers.
  • Customer Data means contact, order, purchase, review, reply, email-event, suppression, widget, asset, report, provider, billing, support, operational, and account data supplied by, collected for, or processed on behalf of a Client.
  • End Customer means a Client’s customer, contact, reviewer, purchaser, subscriber, or other recipient.
  • Generated Asset means a reply draft, caption, feed image, story image, report, widget output, file, export, email asset, or other output generated, formatted, rendered, or assembled through the Service.
  • Google Business Profile or GBP means Google’s business listing platform and related APIs used to sync business profiles, locations, reviews, replies, metrics, and related state.
  • Lifetime Plan means a plan sold as lifetime access to the applicable ModMount product or service plan, as defined in Section 15.
  • Operator means ModMount personnel or approved contractors acting for setup, support, quality control, managed service delivery, recovery, troubleshooting, or account operations.
  • Owner means an Authorized User with account-level authority, including billing, team, provider, location, setup, and high-risk account actions.
  • Portal means the authenticated ModMount account area, dashboard, or protected application surface.
  • Review Request Credits means account-limited service credits used only for eligible review-request overflow after the included monthly allowance is exhausted.
  • Review Request Flow means one transactional review request tied to a real customer event or approved import, plus one eligible follow-up where configured.
  • Service means ModMount.io, the Portal, review automation, social asset generation and publishing, managed Email Automation, widgets, reports, support, provider integrations, downloads, operational workflows, and related services.

4. Eligibility, Authority, And Accounts

ModMount is for business use by approved local businesses.

You represent that:

  • You are at least 18 years old and old enough to form a binding contract where you live.
  • You are authorized to bind the Client to these Terms.
  • You are authorized to manage each connected domain, sender identity, provider account, Google Business Profile account, Google Business Profile location, intake source, and customer-data source.
  • You have the rights and permissions needed to provide Customer Data to ModMount and to instruct ModMount to process it.
  • Your Account information, billing information, provider information, sender information, and business information are accurate and current.
  • You will comply with laws, provider rules, platform rules, industry rules, and customer-facing obligations that apply to your business, customers, communications, reviews, testimonials, advertising, content, and services.

You are responsible for all activity under your Account and for all Authorized Users. You must keep credentials secure, use reasonable access controls, remove access when it is no longer needed, and promptly notify ModMount of suspected unauthorized access, credential compromise, or account misuse.

ModMount does not provide legal, tax, advertising compliance, deliverability, platform-policy, or business-compliance advice.


5. Setup, Payment Gates, And Operator Assistance

ModMount may help configure your Account before production automation starts. Setup may include provider connections, sender domains, intake sources, templates, brand settings, widgets, reports, social defaults, team access, billing links, and managed email workflows.

You authorize Operators to act under standing instructions for:

  • Account setup and onboarding.
  • Provider connection, recovery, and troubleshooting.
  • Sender-domain and email-readiness work.
  • Customer intake setup and validation.
  • Widget, report, review, reply, and social-asset configuration.
  • Managed Email Automation and Broadcast Campaign delivery.
  • Quality control, support, security, abuse prevention, and service recovery.

Operators will not intentionally make high-risk account changes outside the Service scope unless authorized by an Owner, required to protect the Service, required by provider rules, or needed to prevent harm, abuse, security risk, payment risk, or unlawful use.

Production automation may require an active plan or purchase, completed setup, sender-domain readiness, provider readiness, role permission, payment status, and other service gates. ModMount may let you configure parts of the Account before payment, but unpaid setup does not guarantee production sending, managed intake activation, recurring automation, Google reply publishing, Instagram publishing, live widget embed activation, reports, paid manual-campaign fulfillment, or other paid service activity.

During unpaid setup, ModMount may run limited read-only imports or setup checks, such as importing selected Google reviews so the Portal is useful before payment. Recurring sync, sending, publishing, reporting, managed intake, and other live side effects remain gated.

Standard onboarding and integration setup calls are included where offered for the applicable plan or purchase. Nonstandard requests, custom implementation work, unusual migrations, emergency work, large manual cleanups, custom exports, custom reporting, custom templates, unsupported provider work, or work outside the applicable plan scope may require a separate quote, order, or written approval.


6. What ModMount Provides

Depending on your plan, setup, providers, and readiness state, ModMount may provide:

  • Review-request workflows tied to real customer events or approved imports.
  • Google Business Profile connection, location selection, review sync, reply drafting, reply approval, reply publishing, moderation-state tracking, and reporting.
  • Website widgets that display eligible review proof.
  • Review-derived feed and story assets, captions, downloads, queues, schedules, and eligible provider publishing.
  • Weekly reporting and downloadable files. Reports are informational operational summaries based on available provider and account data, and may reflect provider delays, missing data, failed sends, suppressions, setup issues, or other delivery issues.
  • Review Request Credits for eligible review-request overflow.
  • Managed Email Automation, including defined retention flows, flow mapping, subscriber handling, monitoring, and Broadcast Campaigns where included.
  • Support, troubleshooting, account configuration, provider recovery, and Operator assistance.

You are responsible for all Customer Data and instructions you provide to ModMount.

You warrant that:

  • Your End Customer data comes from real customer relationships or another lawful source you are authorized to use.
  • You will not upload, import, send to, or process purchased, rented, scraped, harvested, guessed, unlawfully obtained, or unauthorized lists.
  • You have authority to use each sender domain, email address, business profile, provider account, logo, image, brand asset, review, content item, data source, and integration you connect or provide.
  • You have made any disclosures and obtained any consents required for ModMount to process Customer Data and send messages on your behalf.
  • Your offers, claims, replies, review practices, assets, emails, campaigns, and published content comply with applicable requirements.

For messages, replies, posts, assets, widgets, and reports created, sent, displayed, or published through the Service, you are the business authorizing the activity. ModMount acts on your instructions and under these Terms; ModMount does not become the seller, advertiser, reviewer, publisher, promoter, or sender for your business.

You must cooperate promptly with ModMount on sender-quality recovery, provider reviews, abuse complaints, recipient complaints, data requests, payment disputes, security incidents, and other issues that can affect the Account or Service. If you do not cooperate, ModMount may keep affected features paused or end affected service areas.


8. Provider Connections And Authorization

By connecting a provider, asking ModMount to connect a provider, or using a provider-backed feature, you authorize ModMount to access, use, transmit, and process provider data and instructions as needed to provide the Service.

This may include authority to:

  • Connect Google Business Profile and access selected accounts, locations, reviews, replies, performance metrics, notification settings, and related resource identifiers.
  • Configure sender domains and send transactional review-request emails.
  • Receive customer or order events from managed intake providers, webhooks, CSV imports, forms, or manual entry.
  • Draft, queue, edit, approve, deny, publish, or track Google review replies according to your settings and permissions.
  • Generate, queue, download, schedule, or publish eligible review-derived social assets.
  • Render widgets using eligible review content and widget settings.
  • Sync billing, purchase, subscription, and plan state from checkout or billing providers.
  • Use service providers and subprocessors described in the Privacy Policy.

You must not connect providers, domains, profiles, locations, accounts, or data sources you do not own or have authority to manage.

Managed intake and source-system compatibility depend on provider access, source-account permissions, sample payload proof, field mapping, and ongoing provider availability. ModMount may decline, delay, or limit a source-system intake path until an Operator verifies that the source can provide usable customer or order data.

Once a message, reply, post, asset, campaign, provider request, or other instruction is submitted to a provider, it may not be reversible. ModMount may not be able to cancel, recall, edit, hide, delete, or undo provider-side activity after the provider receives, accepts, publishes, processes, or queues it.


9. Google Business Profile Data

By connecting Google Business Profile, you authorize ModMount to access, sync, use, and process data from the selected business profiles and locations to provide the Service, including review sync, reply workflows, widgets, generated assets, reporting, and related account support.

Google-sourced content may be cached, refreshed, redacted, or deleted in accordance with Google’s API rules and ModMount’s Privacy Policy. ModMount may retain operational records that do not function as a permanent archive of Google-sourced display content, including sync metadata, account records, audit logs, reply status, suppression records, and aggregated reporting data.

If you disconnect Google Business Profile or ask ModMount to stop managing it, Google-dependent features may stop working. ModMount will provide a reasonable process to disconnect the integration and, after a verified request, use reasonable efforts to disassociate the connected Business Profile account from ModMount’s services within 7 business days unless provider downtime, incomplete authority verification, or required Client action prevents completion.

9.1 Authorized Locations Only

You may connect only Google Business Profile accounts and locations that you own or are authorized to manage.

ModMount may not be used to access, claim, monitor, manage, or analyze unrelated businesses or leads.

9.2 Review Replies

If ModMount responds to Google reviews on your behalf, you authorize that action through account setup, user action, approval workflow, auto-publish configuration, or another specific consent path.

All Google review replies must comply with Google’s applicable rules. You remain responsible for the final content of approved or auto-published replies.

Current default policy:

  • 1-3 star review replies remain draft-only unless a later approved account setting changes this.
  • 4-5 star replies may auto-publish after the configured delay only when that feature is enabled.
  • Blank, null, or whitespace-only replies must not publish.
  • Google-rejected replies may return to a revision-needed state.

9.3 Google Outcomes

Google may reject, moderate, remove, hide, reorder, change, or stop displaying reviews, replies, business profile data, or related content. Google may also change API access, rate limits, permissions, approval requirements, policies, review visibility, profile behavior, and integration behavior.

ModMount does not control Google and does not guarantee Google ranking, review visibility, profile visibility, review display, reply acceptance, or continued Google API access.


10. Review Requests And Sender Quality

Review Request Flows are transactional email messages tied to real customer events, approved imports, or permitted manual actions. Review requests are not a tool for cold outreach, list monetization, prospecting, unrelated advertising, or mass unsolicited messaging.

You are the sender of record and the business responsible for each Review Request Flow sent on your behalf, including recipient eligibility, sender identity, content, timing, and suppression handling.

Current service rules:

  • Ongoing flows include one initial request and one configurable follow-up.
  • Review requests should not include product promotion, coupons, or unrelated marketing copy.
  • Sender identities must accurately identify your business and must not impersonate a third party.
  • Sender domains must be verified before production sending.
  • ModMount may require a production sender domain to have a working website or business page that reasonably matches the Client, location, and sender identity.
  • If a sender domain is not verified, ModMount may ingest eligible events and queue eligible flows, but it must not send Review Request Flows from that sender domain.
  • If a contact already left a matched Google review for the same location, future automated intake should record the event without triggering another same-location Review Request Flow.
  • Opt-out, hard bounce, complaint, provider suppression, and manual Do Not Contact suppress future ModMount review requests account-wide for that contact.
  • A manual email-safe override clears only the email-verification gate. It does not clear Do Not Contact, opt-out, hard bounce, complaint, provider suppression, readiness, payment, monthly allowance, credit, or duplicate-flow gates.

ModMount may pause, throttle, reject, quarantine, or stop sending when sender quality, provider state, account configuration, customer data quality, payment status, consent concerns, recipient complaints, or provider policies create risk.

Current sender-quality thresholds are measured over a rolling 30-day window of review-request emails:

  • If at least 25 review-request emails were sent during the window, a hard-bounce rate at or above 2.4% may trigger warning and throttling, and a hard-bounce rate at or above 3.0% may pause sending.
  • If at least 25 review-request emails were sent during the window, a complaint rate at or above 0.048% may trigger warning and throttling, and a complaint rate at or above 0.06% may pause sending.
  • Before the 25-send rate gate applies, 3 hard bounces during the window may pause sending.
  • At warning, ModMount may reduce sending pace, including throttling review-request sending to 50% of the normal pace.
  • At pause, outbound review-request sending stops until cleanup, review, and recovery steps are complete.

Provider rules, abuse reports, security events, recipient risk, or unusual sending patterns may require stricter action than these thresholds.

You may not bypass sending pauses or sender-quality rules by creating new accounts, using alternate domains, editing contacts to avoid suppression, reimporting suppressed contacts, routing around ModMount controls, or otherwise trying to evade Service or provider limits.

A sender-quality pause blocks outbound Review Request Flow sending. Unless another issue applies, it does not block Portal access, CSV import, contact cleanup, Google review sync, review replies, social asset creation, widgets, weekly reports, or managed Email Automation work. Queued Review Request Flows may stay queued while sending is paused.

A sender-quality pause is normally a recovery action, not a cancellation event. Resuming sending may require cleanup, proof of consent, data removal, domain repair, lower bounce or complaint rates, a clean-list attestation, Operator review, provider review, or other corrective action.

ModMount does not guarantee deliverability, inbox placement, provider acceptance, open rates, click rates, review rates, review sentiment, star rating, Google ranking, profile visibility, revenue, or customer behavior.


11. Review Request Credits

Review Request Credits are account-limited service credits used only for eligible review-request overflow after the included monthly allowance is exhausted.

Current service rules:

  • Current credit availability and purchase terms are shown on the website, in the portal, or in the applicable checkout.
  • One Review Request Credit currently covers one eligible customer flow: initial review request, follow-up review request, review reply, and feed or story assets created from the resulting review.
  • New Accounts may receive one no-cost starter grant of 100 Review Request Credits when the current onboarding flow offers it. Starter credits are promotional service credits, not cash or paid credits.
  • Monthly included allowance is consumed before paid credits.
  • If the Account exhausts the monthly allowance and has no available Review Request Credits, eligible over-allowance Review Request Flows may queue until the next monthly reset instead of sending immediately.
  • Paid credits are not a separate campaign, subscription tier, or per-contact product.
  • Purchased credits do not expire while the Account remains open and in good standing, subject to these Terms and any applicable checkout terms.
  • Credits are not cash, stored value, gift cards, banked money, securities, or transferable property.
  • Credits are not redeemable for money and may not be sold, transferred, assigned, or exchanged outside the Account.
  • Credits may be removed or invalidated if the related purchase is refunded, reversed, disputed, charged back, fraudulent, or otherwise not settled.

ModMount may limit or refuse credit use where a request would violate these Terms, acceptable use rules, provider rules, sender-quality gates, payment gates, consent rules, suppression rules, or Service limits.


12. Widgets, Testimonials, And Generated Assets

By enabling widgets, social assets, reports, downloads, or related features, you authorize ModMount to display, transform, format, render, transmit, and reuse eligible review content for your own business website, social media, reporting, dashboard, and related service outputs.

Current service rules:

  • Widgets display eligible review proof while the relevant review content is currently available and within the allowed cache window.
  • You and authorized Operators may hide or archive reviews from widget display without deleting underlying lifecycle metadata.
  • Eligible reviews may become branded feed assets, story assets, captions, report files, dashboard downloads, and other Generated Assets on eligible plans.
  • Widgets may include a Powered by ModMount label or link unless a written plan or order term says otherwise.
  • Review content must not be fabricated, materially altered in a misleading way, or used to imply an incentive, endorsement, affiliation, guarantee, or outcome that does not exist.

AI-generated reply drafts, captions, summaries, suggestions, and related outputs may be inaccurate, incomplete, repetitive, unexpected, or unsuitable for a specific use. They are drafts and operational aids, not factual guarantees or final business statements. You are responsible for reviewing, editing, approving, publishing, rejecting, or disabling AI-generated content before it is used.

ModMount does not guarantee that Generated Assets are unique, protectable, copyrightable, non-infringing, platform-compliant, or free from errors. You are responsible for final use of Generated Assets and for ensuring review, testimonial, endorsement, advertising, privacy, platform, intellectual-property, and business rules are followed.

ModMount does not use Client-owned Customer Data to train public or general-purpose AI models unless you expressly authorize that use in writing.

Making a file available in the Portal, sending it by email, attaching it to a report, or otherwise providing a reasonable download or access path counts as delivery of that file or Generated Asset.


13. Instagram And Provider Publishing

ModMount’s social scope is limited to review-derived feed and story assets, related captions, downloads, queues, schedules, and eligible publishing. ModMount is not a broad social media management suite.

By connecting Instagram or another publishing provider, enabling a publishing feature, scheduling a post, approving a queue, or clicking a publish action, you authorize ModMount to send the selected assets, captions, media, and related metadata to that provider on your behalf.

Provider platforms may reject, delay, modify, remove, rate-limit, disconnect, restrict, or stop accepting posts, stories, media, captions, permissions, tokens, API calls, or account access.

If Instagram, Google Business Profile, or another provider API changes or becomes unavailable, ModMount may continue service through reasonable fallback delivery, such as dashboard downloads, weekly reports, exported files, manual posting files, reconnect steps, support guidance, or other available workflows. Loss, restriction, delay, or change of provider API access by itself is not a breach of these Terms and does not by itself create a refund right.


14. Managed Email Automation And Broadcast Campaigns

Email Automation is a managed service area. It may include retention-flow planning, setup, monitoring, managed delivery, flow maps, subscriber handling, and Broadcast Campaigns where included in the applicable plan.

Unless the applicable plan or checkout says otherwise, Email Automation includes up to 3,000 active subscribers and up to 2 Broadcast Campaigns each month. Additional Broadcast Campaigns, if available, are handled through the current portal, checkout, or order terms.

If a plan uses words such as “unlimited” for Email Automation sends or custom flows, that means no fixed send or custom-flow count inside the plan’s managed service scope. It does not remove compliance, consent, suppression, deliverability, payment, provider-risk, sender-quality, operational-capacity, or fair-use gates.

Email Automation is a managed service, not a self-serve email-flow builder unless the applicable plan or order term says otherwise. ModMount may use Encharge, Emailit, Resend, or other approved providers to support email workflows.

You are responsible for:

  • Providing accurate business, sender, domain, offer, list, and recipient-eligibility information.
  • Confirming that subscribers and recipients may lawfully receive the relevant emails.
  • Providing or approving campaign content, timing, offer details, segmentation, exclusions, suppression rules, company name, physical mailing address, reason for contact, unsubscribe handling, and other required business information.
  • Reviewing and approving managed campaign work where approval is required.
  • Keeping connected ecommerce, intake, provider, and subscriber sources accurate.

For Broadcast Campaigns, commercial emails, bulk emails, and similar managed email work, you must provide accurate sender identification, a valid physical mailing address, a truthful reason for contacting the recipient, and a working unsubscribe or opt-out path where required. You must honor unsubscribe, opt-out, complaint, and Do Not Contact requests promptly and no later than 7 calendar days after receipt unless ModMount applies the suppression sooner.

Missing inputs, late approvals, provider issues, sender-quality issues, payment issues, list-quality issues, or compliance concerns may delay, reschedule, limit, or block managed email work. Included Broadcast Campaign availability, extra Broadcast Campaign availability, subscriber limits, and plan-specific inclusions are controlled by the current plan, portal, checkout, or order terms.


15. Plans, Pricing, Billing, Refunds, And Lifetime Plans

Subscription billing, one-time purchases, credits, add-ons, plan changes, payment plans, cancellation flows, taxes, invoices, payment failures, and manage-plan workflows may be handled through ThriveCart or another approved checkout or billing provider.

Current plan names, prices, billing periods, features, allowances, refund windows, payment-plan options, and add-on terms are shown on the website, in the Portal, in the applicable checkout, in manage-plan flows, or in order-specific terms. Price changes do not change completed purchases retroactively unless the applicable purchase terms say otherwise, but future subscription price changes may apply at the next renewal, billing period, plan change, or new purchase where disclosed through the applicable flow.

Fees do not include taxes unless the applicable checkout or invoice says otherwise. You are responsible for taxes, duties, levies, transaction fees, currency charges, payment-provider fees, and similar charges that apply to your purchase, except taxes based on ModMount’s income.

Subscriptions, renewals, payment-plan installments, cancellation timing, refund windows, and plan changes follow the applicable website, Portal, checkout, manage-plan, or order-specific terms. Cancellation stops future renewal or future service as described in the applicable flow, but it does not automatically refund amounts already paid, reverse completed purchases, cancel settled credits, or erase retained records unless the applicable terms or law require it.

Unless the applicable checkout, order-specific terms, these Terms, or law requires otherwise, refunds are not owed for used service, sent messages, delivered reports, delivered files, delivered Generated Assets, consumed credits, performed setup, managed email work already performed, provider work already performed, or account action taken because of material breach, acceptable use violations, fraud, abuse, unlawful use, payment disputes, sender-quality evasion, or unauthorized data use.

Selected service locations define operational scope, review sync, reporting, permissions, and provider configuration. Selected service locations do not multiply subscription price unless the applicable plan or checkout expressly says otherwise.

Chargebacks, payment disputes, fraud flags, unpaid invoices, reversed payments, failed payments, or unresolved billing issues may pause or end paid features, credits, campaigns, reports, provider work, support work, exports, and account access until resolved.

15.1 Lifetime Plans

A Lifetime Plan means access for the life of the applicable ModMount product or service plan, not for the lifetime of the buyer, business owner, account user, business entity, provider platform, or any third-party service.

Lifetime Plan buyers receive updates associated with the purchased plan while that plan, or a substantially similar successor plan, remains offered and supported by ModMount. A Lifetime Plan does not guarantee unchanged features, unchanged providers, unchanged APIs, uninterrupted access, unchanged usage limits, unchanged names, unchanged workflows, or indefinite operation of any third-party platform.

If ModMount replaces, renames, reorganizes, or moves a Lifetime Plan into a substantially similar successor plan, Lifetime Plan access may be mapped to that successor plan.

If a Lifetime Plan account is temporarily paused for sender-quality, payment, provider, security, abuse, or compliance reasons, that pause does not automatically create a refund right. If ModMount determines that a Lifetime Plan account cannot safely resume and permanently ends the paid sending service for sender-quality reasons after reasonable recovery review, ModMount will calculate any required refund on a prorated basis using a 10-year notional service term measured from the original Lifetime Plan purchase date, less elapsed time and less amounts already refunded, credited, reversed, or charged back.

No refund is owed for fraud, intentional abuse, unlawful use, attempts to bypass sender-quality controls, unauthorized provider access, data misuse, or other material misuse of the Service unless a checkout-specific term or applicable law requires otherwise.


16. Service Changes, Beta Features, And Roadmap

ModMount may improve, replace, rename, reorganize, limit, suspend, or retire features, providers, workflows, plans, UI surfaces, reports, templates, assets, integrations, or operational processes.

Beta, preview, pilot, proof, experimental, early-access, or unreleased features may change, fail, be limited, be unavailable, or be removed at any time.

Sales conversations, demos, examples, prototypes, public roadmap items, planned features, expected timelines, support comments, and help-center articles do not create a binding commitment unless they are included in a signed written agreement, checkout-specific term, or order-specific term.


17. Acceptable Use

You may not use ModMount to:

  • Send messages to people who are not real customers or who were obtained unlawfully.
  • Send spam, cold outreach, unsolicited bulk messaging, phishing, malware, credential-theft attempts, scams, or deceptive messages.
  • Use purchased, rented, scraped, harvested, guessed, brokered, or unauthorized lists.
  • Buy, sell, broker, fabricate, seed, manipulate, or fake reviews.
  • Condition incentives, compensation, discounts, refunds, benefits, or treatment on positive or negative review sentiment.
  • Suppress, discourage, hide, filter, or reroute negative reviews in a deceptive or unlawful way.
  • Publish replies, emails, assets, claims, or offers that are false, misleading, unlawful, threatening, harassing, discriminatory, infringing, deceptive, or platform-prohibited.
  • Upload, import, connect, or process data you are not authorized to use.
  • Access or attempt to access another account’s data or bypass security, billing, sender-quality, provider, suppression, rate-limit, or permission controls.
  • Scrape, crawl, harvest, copy, index, or automate access to the Service beyond ordinary browser use, public widget use, or an approved integration path.
  • Reverse engineer, decompile, disassemble, probe, scan, stress test, load test, interfere with, disrupt, or attempt to discover non-public source code, systems, vulnerabilities, keys, tokens, models, prompts, infrastructure, or security controls.
  • Exceed or ignore sender-quality thresholds, cleanup requirements, suppression requirements, opt-out requirements, or provider deliverability rules.
  • Create accounts, domains, imports, sender identities, or workflows to evade limits, pauses, suspensions, provider rules, or these Terms.
  • Misrepresent affiliation with ModMount, Google, Meta, Instagram, Resend, Encharge, ThriveCart, or another provider.
  • Use the Service in a way that could harm recipients, providers, ModMount, other customers, sender reputation, provider access, security, or the integrity of the Service.

ModMount may monitor, review, reject, quarantine, throttle, pause, suspend, or terminate accounts, messages, imports, workflows, provider actions, content, or features that appear to violate these Terms, provider policies, recipient protections, legal requirements, payment requirements, security requirements, or platform-health requirements.

Suspension, throttling, rejection, quarantine, or termination for acceptable use concerns does not by itself create a refund right for used service, performed work, consumed credits, sent messages, delivered outputs, or settled purchases.


18. Data, Privacy, Security, And Subprocessors

ModMount’s Privacy Policy explains data collection, use, storage, sharing, retention, deletion, Google data handling, and subprocessors.

You authorize ModMount to process Customer Data as needed to provide, secure, support, debug, audit, improve, enforce, and report on the Service.

ModMount uses reasonable safeguards appropriate to the Service. No internet-connected system, provider, or workflow can be guaranteed perfectly secure or always available.

Suppression, opt-out, complaint, hard-bounce, Do Not Contact, abuse-prevention, fraud-prevention, billing, audit, support, security, and legal records may survive cancellation, disconnect, or account closure where needed to prevent unwanted contact, protect the Service, resolve disputes, satisfy obligations, or enforce these Terms.

Each party may receive non-public information from the other, including business information, customer information, setup details, provider information, pricing terms, workflows, support details, security information, and operational information. The receiving party must use that information only for the relationship under these Terms and protect it with reasonable care. This does not restrict information that is public, already known without a duty of confidentiality, independently developed, lawfully received from another source, or required to be disclosed by law, provider process, or court order.


19. Provider Availability And Non-Affiliation

ModMount depends on third-party providers. Depending on configuration, these may include Google, Google Business Profile, Meta, Instagram, Resend, Emailit, Encharge, ThriveCart, SyncSpider, OpenAI, Supabase, Cloudflare, Intercom, Canva, Google Workspace, Gmail, Apps Script, and related service providers.

Your use of provider-backed features may also be subject to the providers’ own terms, policies, limits, review processes, payment rules, data rules, content rules, and enforcement decisions. You are responsible for keeping connected provider accounts in good standing and for following provider rules that apply to your business, content, messages, reviews, assets, campaigns, domains, and connected accounts.

Provider downtime, moderation, API limits, webhook failures, token expiration, policy changes, approval requirements, app review outcomes, disconnected accounts, rejected content, billing issues, security action, or provider enforcement may delay, degrade, suspend, or block Service features.

ModMount is independent. Unless expressly stated in writing, ModMount is not affiliated with, endorsed by, sponsored by, certified by, approved by, or partnered with any provider, marketplace, platform, software company, or brand referenced in the Service, documentation, marketing, generated outputs, or these Terms. Provider names are used only to identify integrations, compatibility, workflows, or services.


20. Ownership, Licenses, And Generated Outputs

You retain ownership of your lawful business information, brand assets, customer data, provider content, and materials you provide to ModMount, subject to the permissions needed for ModMount to provide the Service.

ModMount retains ownership of its software, source code, automation logic, workflows, prompts, prompt structures, templates, layouts, rendering systems, design systems, documentation, internal tools, operational processes, report formats, know-how, trademarks, branding, and other ModMount intellectual property.

You grant ModMount a limited license to host, process, use, transmit, transform, format, display, publish, reproduce, and create outputs from Customer Data and Client-provided materials as needed to provide, secure, support, operate, enforce, and improve the Service.

Generated Assets may combine Client materials, Customer Data, provider content, ModMount templates, ModMount layouts, and ModMount systems. Subject to these Terms, you may use delivered Generated Assets for your own business purposes. You do not receive ownership of ModMount’s underlying software, templates, automation logic, rendering systems, prompts, reusable structures, or internal workflows.

You represent that you have all rights needed to provide logos, images, brand assets, customer lists, order data, review content, provider content, and other materials supplied to or processed by ModMount.

ModMount will not publicly use your name or logo in marketing as a customer reference without your permission.

If you send ModMount ideas, suggestions, requests, issue reports, workflow improvements, feature requests, testimonials, comments, or other feedback, you grant ModMount the right to use that feedback without restriction, confidentiality obligation, attribution, or compensation unless a separate written agreement says otherwise.

If you believe content in the Service infringes your copyright or other intellectual-property rights, contact ModMount through the portal support channel or email help@modmount.io with enough detail for ModMount to identify the material, the claimed right, the affected account or URL if available, your contact information, and a statement that you are authorized to act for the rights holder.


21. Cancellation, Disconnect, Export, Suspension, And Termination

Cancellation, disconnect, suspension, or termination may affect:

  • Production sending.
  • Sender domains.
  • Review sync and reply publishing.
  • Widgets and public embeds.
  • Social asset generation, scheduling, publishing, and downloads.
  • Email Automation and Broadcast Campaign work.
  • Reports and report delivery.
  • Provider tokens, webhooks, and connected accounts.
  • Billing and plan state.
  • Review Request Credits.
  • Support and Operator access.
  • Stored data, audit history, and suppression records.

Disconnecting a provider may immediately disable dependent features. ModMount may continue to retain records described in the Privacy Policy and Section 18.

ModMount will provide a reasonable process for disconnecting Google Business Profile and disassociating the connected Business Profile account from ModMount’s services. After a verified request, ModMount will use reasonable efforts to complete disassociation within 7 business days unless provider downtime, incomplete authority verification, or required Client action prevents completion. Some retained records may remain after disconnect where needed for security, audit, billing, suppression, dispute, compliance, or service-integrity reasons.

If you request an export, ModMount may provide reasonable access to available account data in a format ModMount chooses. Export rights do not include custom database dumps, raw provider payloads, internal logs, secrets, tokens, prompts, source code, proprietary workflows, security records, abuse records, or ModMount-owned systems.

ModMount may suspend or terminate the Account, an Authorized User, a provider connection, a sending domain, an import, a campaign, a workflow, a feature, or the Service if continued use creates legal, provider, deliverability, security, payment, recipient, data, abuse, or platform-health risk.


22. Warranty Disclaimer And Liability Limits

The Service is provided on an “as is” and “as available” basis to the maximum extent permitted by law.

ModMount disclaims all warranties to the maximum extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or usage of trade.

ModMount does not warrant that the Service will be uninterrupted, error-free, secure, timely, compatible with every provider, available at all times, or free from data loss or provider disruption.

ModMount does not guarantee review results, ratings, search ranking, customer behavior, revenue, deliverability, inbox placement, provider approval, provider access, AI output accuracy, reply acceptance, social publishing success, widget availability, or campaign performance.

Unless a signed written agreement, checkout-specific term, or order-specific term expressly says otherwise, ModMount does not provide an uptime service level agreement, guaranteed response time, or service credits for downtime, delay, provider failure, or feature unavailability.

To the maximum extent permitted by law, ModMount will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or similar damages, including lost profits, lost revenue, lost business, lost goodwill, lost data, provider loss, ranking changes, customer claims, or business interruption.

To the maximum extent permitted by law, ModMount’s total liability for all claims relating to the Service will not exceed the amounts paid by the Client to ModMount for the affected Service during the three months before the event giving rise to the claim.

Some jurisdictions do not allow certain exclusions or limitations. In those jurisdictions, the limitations apply to the maximum extent permitted.


23. Indemnity

You will defend, indemnify, and hold ModMount harmless from claims, losses, damages, penalties, liabilities, costs, and expenses, including reasonable fees, arising from or related to:

  • Customer Data or Client-provided materials.
  • Your instructions, provider connections, sender domains, imports, recipient lists, or business practices.
  • Unauthorized provider access, unauthorized data use, or lack of required rights or consent.
  • Your content, offers, replies, emails, assets, reviews, testimonials, advertising, or published materials.
  • Your violation of these Terms, provider rules, applicable requirements, or third-party rights.
  • Your attempts to bypass sender-quality, suppression, payment, provider, security, or Service controls.
  • Claims by End Customers, recipients, providers, Authorized Users, or third parties connected to your use of the Service.

24. Disputes And General Terms

Before either party starts a formal claim, the party must give the other party written notice describing the issue and allow a reasonable opportunity to resolve it, unless immediate action is needed for payment collection, security, provider access, intellectual property, unlawful use, or misuse of the Service.

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law rules. Court proceedings that may proceed in court must be brought in the state or federal courts located in Pennsylvania, and each party consents to personal jurisdiction there.

You may not assign or transfer these Terms or your Account without ModMount’s prior written consent. ModMount may assign these Terms to an affiliate, successor, acquirer, or entity involved in a merger, acquisition, reorganization, asset sale, or similar transaction.

If any provision is unenforceable, the remaining provisions remain in effect. A waiver must be written to be effective. Failure to enforce a provision is not a waiver. Sections that by their nature should survive will survive termination, including payment, data, acceptable use, ownership, confidentiality, disclaimers, liability limits, indemnity, dispute, and general provisions.

ModMount may update these Terms as the Service, providers, requirements, or business model changes. Material changes may be posted with a revised “Last updated” date and, where appropriate, communicated through email, in-app notice, checkout notice, or another reasonable channel. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
